1. Strategic Corporate Counsel: Serves as Head of Legal for a major regional IT distribution group with a presence in 12 countries.
2. Advisory: I have advised clients mainly on the regulated sectors, competition, energy and mining, mergers and acquisitions, commercial, corporate, employment, joint ventures, commercial Contracts, arbitration, demand notices and other pre-litigation matters.
Acted for and on behalf of clients, reviewing corporate documents and provided advice on corporate restructuring of various companies. Assisted the clients with the share transfer and preparing documents to be submitted to the Company Registry and filing the same.
3. Regulatory Liaison: Successfully secured regulatory approvals from the Bank of Tanzania (BoT), Tanzania Communication Regulatory Authority, Capital Market and Securities Authority, Tanzania Insurance Regulatory Authority, Mining Commission and the Fair Competition Commission (FCC).
Expert in navigating the BRELA Online Registration System (ORS) for company migrations, share transfers, and updating corporate records to ensure 100% regulatory standing.
4. NGO Governance: Trustee and Director of Legal for Wezesha Tanzania, overseeing registration and governance compliance.
5. Acting as Skadden, Arps, Slate, Meagher & Flom LLP’s local counsel in connection with a transaction which involved the acquisition by Axian Telecom/Honora Holdings Limited of more than ninety eight percent (98%) shares of MIC Tanzania Public Limited Company (Tigo) and indirectly acquired Tigo’s four (4) subsidiaries. The acquisition was worth more than United States Dollars one hundred million (USD 100,000,000). I prepared documents for the regulatory requirement approval and Fair Competition Commission application and filing the same. This transaction includes advising on the approvals from the Fair Competition Commission and advising the client on all related regulatory requirements for the transaction. Work included reviewing various documents, preparing due diligence report with respect to all five (5) entities, providing legal advice and assisting with reviewing documentation for obtaining approvals from Tanzania Communications Regulatory Authority, Tanzania Capital Markets and Security Authority and the Bank of Tanzania.
6. Acting as Selcom Paytech Limited’s counsel reviewing corporate documents and restructuring the company’s shareholding structure, reviewing a due diligence report, assisting with the share transfers and preparing documents for the regulatory requirement approval and Fair Competition Commission application and filing the same. I also advised the client on all related regulatory requirements for the transaction. The transaction involves acquisition of shares in the network service provider company which has operations in Tanzania. The transaction required me to review corporate documents and restructuring the company’s shareholding structure, reviewing a due diligence report, assisting with the share transfer and preparing documents for competition approvals and the best way to structure the transaction. Furthermore, I was able to structure the acquisition in an efficient manner such that only one Fair Competition Commission approval was required for the entire transaction even though there are similar precedents where multiple filings were required.
7. Provision of legal services to Toyota Tanzania Limited. Work included providing general legal opinions on corporate issues, deals, transactions and human resource issues. The work is on various sectors including but not limited to labour laws, corporate laws, tax laws, competition laws and finance laws. I assisted Toyota Tanzania Limited with reviewing and drafting several lease agreements, corporate restructuring and further assisted with lease financing agreement, and financial sector recently promulgated new financial legislation which greatly impacted on leasing and credit finance services.
