Insolvency & Restructuring

Lending our expertise

We have advised and negotiated terms for entities such as 1872 Restaurant and Entertainment Limited, Premier Flour Mills Limited, and some mentioned below.

We advised Hai Africa on restructuring to allow the growth of its donation profile as the entity was operating as a Community-Based Organisation (CBO) that made its structures unfavourable for various cross border financing and succession plans. We advised and restructured it to a Company Limited by Guarantee as a foundation, which in turn removed the limitations which hinder their ability to accept donations. Furthermore, this restructuring presents a more seamless leadership transition in the event key personnel change, ensuring the organization’s mission carries on.

We advised Kwale Deaf Centre on corporate restructuring, corporate immigration (processing of permits for foreign appointees of donors that will come to work in Kenya) which ensured the Centre could access skilled staff from abroad, enriching their operations, car purchase due diligence and agreements, development of better employer-employee contracts and policies which created a clearer working environment for staff, leading to increased satisfaction and reduced legal risks, and licenses from the Tourism Office.

He also provided comprehensive Corporate & Tax Structuring advice for a European Union-based company, taking into account the standards under the Organisation of Economic Cooperation and Development (OECD) to avoid negative publicity. His team was careful not to alienate potential clients who may have concerns about certain corporate structures.
